Article 2 — Description of the Service

2.1 Features

ResonanceMetrics is a Generative Engine Optimization (GEO) platform that lets the Customer:

  • Automatically analyze its website to extract value propositions, target audience, and differentiators;
  • Generate customer personas based on the brand analysis;
  • Create and manage prompts to track brand visibility in answers from Third-Party AI Platforms;
  • Run prompts on several Third-Party AI Platforms at the same time;
  • Analyze results, including brand mentions, sentiment, and positioning;
  • Automatically discover competitors mentioned in AI answers;
  • Run technical audits (Lighthouse, Core Web Vitals) to assess the site’s technical performance.

2.2 Limitations

The Service does not:

  • Guarantee an improvement in the Customer’s visibility, ranking, or commercial performance;
  • Directly influence the answers of Third-Party AI Platforms;
  • Provide personalized strategic advice on marketing or communications;
  • Guarantee the accuracy of the Third-Party AI Platform answers that are analyzed;
  • Ensure the continuous availability of Third-Party AI Platforms.

2.3 Dependence on Third-Party AI Platforms

The Customer acknowledges and accepts that:

The Service depends on Third-Party AI Platforms (including ChatGPT, Claude, Gemini, Perplexity, and others) that ResonanceMetrics does not control.

ResonanceMetrics does not guarantee:

  • The permanent availability of Third-Party AI Platforms;
  • The accuracy, relevance, or quality of answers those platforms generate;
  • Continued compatibility of the Service with those platforms;
  • That their current features will remain available.

ResonanceMetrics may change the list of supported Third-Party AI Platforms at any time, in particular if:

  • Their access terms or APIs change;
  • A platform ceases operations or is unavailable for a long period;
  • Technical change makes the integration impossible or not viable.

If the available Third-Party AI Platforms change materially, ResonanceMetrics will inform the Customer within a reasonable time.

2.4 Quality of Results

The Customer acknowledges and accepts that:

  • The quality and relevance of Results depend directly on the quality of the Inputs the Customer provides;
  • Results are provided for information only and are not professional advice;
  • Results may contain inaccuracies or errors that come from Third-Party AI Platform answers;
  • The Customer is solely responsible for evaluating, interpreting, and using the Results;
  • ResonanceMetrics does not guarantee that Results will meet the Customer’s specific expectations.

Article 3 — Sign-up and Account

3.1 Creating an Account

To use the Service, the Customer must create an Account and provide accurate, complete, and up-to-date information, including:

  • A valid professional email address;
  • The name of its company or organization;
  • Any other information required at sign-up.

The Customer will keep this information up to date for as long as it uses the Service.

3.2 Account security

The Customer is solely responsible for:

  • Keeping its sign-in credentials confidential;
  • All activity carried out from its Account;
  • Telling ResonanceMetrics immediately of any unauthorized use of its Account.

ResonanceMetrics is not liable for loss or damage resulting from the Customer’s failure to meet these security obligations.

3.3 Use of the Account

Each Account is strictly personal to the Customer’s company. The Customer may not:

  • Assign, transfer, or lend its Account to a third party;
  • Share sign-in credentials outside the authorized users of its organization;
  • Create several Accounts to bypass the limits of its subscription.

Article 4 — Fees

4.1 Prices and subscriptions

Prices for the Service are shown on the Site’s pricing page (https://resonancemetrics.com/pricing) and may be changed at any time.

Prices are in euros (€) and are exclusive of tax. Applicable VAT is added to the pre-tax amount at the rate in force.

The Customer may choose a monthly or annual subscription. The annual subscription is 15% less than the monthly price.

4.2 Invoicing and payment

Invoicing takes place:

  • For a monthly subscription: at the start of each monthly period;
  • For an annual subscription: at the start of each annual period.

Payment is due immediately on receipt of the invoice. Accepted payment methods are shown during checkout.

4.3 Late payment

In accordance with Article L.441-10 of the French Commercial Code, if payment is late:

  • Late-payment penalties apply automatically, calculated at three times the statutory interest rate in force;
  • A fixed recovery indemnity of 40 euros is due, without prejudice to ResonanceMetrics claiming further compensation if the costs actually incurred are higher.

If payment is not made within thirty (30) days of the due date, ResonanceMetrics may suspend access to the Service until the amount is paid in full.

4.4 Free plan

ResonanceMetrics offers a free plan, with no payment method. The free plan includes a limited number of prompts, every AI engine the Service supports, and a limited history, as described on the pricing page.

There is no free trial of paid plans. A paid subscription starts when the Customer subscribes to and pays for the chosen plan.

4.5 Price changes

ResonanceMetrics may change its prices at any time. If it does:

  • New prices apply to new Customers immediately;
  • For existing Customers, new prices apply at the next renewal of their subscription;
  • The Customer will be informed of any price change at least thirty (30) days before it applies.

4.6 No refunds

Unless the law provides otherwise, or ResonanceMetrics fails to meet an essential obligation, amounts paid are not refundable.

The Customer may not set off amounts it owes ResonanceMetrics against claims it believes it has against ResonanceMetrics, unless those claims are certain, liquid, and due.

Article 5 — Use of the Service

5.1 License

Subject to these Terms and payment of amounts due, ResonanceMetrics grants the Customer a non-exclusive, non-transferable, non-assignable, and revocable license to use the Service for the term of the subscription.

This license only allows the Customer to use the Service for its intended purpose and in accordance with these Terms.

5.2 Permitted use

The Customer may use the Service to:

  • Analyze and track the visibility of its own brands, or those of its clients (on a plan that allows several brands);

  • Impersonate a third party or submit false or misleading information;
  • Infringe third-party intellectual-property rights;
  • Submit unlawful, defamatory, hateful, or otherwise objectionable content.

d) Benchmarking and publication:

  • Run performance tests (benchmarking) of the Service for publication or comparison with competing services without ResonanceMetrics’ prior written consent;
  • Publish information about the Service’s technical performance without permission.

5.4 Usage limits

The Customer is subject to the usage limits of its subscription plan, including:

  • The number of active prompts;
  • The number of brands;
  • The number of personas per brand;
  • The number of competitors per brand;

  • Source code and object code;
  • The user interface and design;

  • Trademarks, logos, and trade names.

Nothing in these Terms transfers to the Customer any intellectual-property right in the Service.

6.2 Ownership of Customer Data

The Customer keeps all rights in its Customer Data. ResonanceMetrics acquires no ownership of Customer Data because it is submitted to the Service.

The Customer grants ResonanceMetrics a limited, non-exclusive license to use Customer Data only to:

  • Provide the Service to the Customer;
  • Improve and develop the Service in an aggregated and anonymized way;
  • Comply with applicable legal obligations.

6.4 Ownership of Results

Results generated by the Service belong to the Customer to the following extent:

ResonanceMetrics’ processing of personal data is governed by our Privacy Policy, which is part of these Terms.

The Customer acknowledges that it has read the Privacy Policy and accepts the personal-data processing described in it.

Article 8 — Confidentiality

8.1 Confidential information

Each party will treat as confidential, and will not disclose, information of the other party that is designated as confidential or that should reasonably be considered confidential by its nature.

8.2 Exceptions

  • On the ResonanceMetrics website;
  • In customer lists and case studies;
  • In sales presentations and marketing materials;

9.2 Withdrawal

The Customer may withdraw this permission at any time by emailing [email protected]. ResonanceMetrics will then have thirty (30) days to remove references to the Customer from its communications.

9.3 Limits

This permission gives ResonanceMetrics no ownership of the Customer’s trademarks and does not allow it to:

  • Suggest a partnership or endorsement that does not exist;
  • Use the Customer’s trademarks in a way that could harm them.

Article 10 — Limitation of liability

10.1 Warranty exclusions

TO THE EXTENT PERMITTED BY APPLICABLE LAW, the Service is provided “as is” and “as available”. ResonanceMetrics does not warrant that:

10.4 Exceptions

The limitations in Articles 10.2 and 10.3 do not apply:

  • In case of fraud or gross negligence by ResonanceMetrics;

  • In case of breach of the contract’s essential obligations, limited to damage that was foreseeable when the contract was formed;
  • In other cases where the law prohibits limiting or excluding liability.

10.5 Time limit for claims

Any claim relating to the Service must be notified in writing to ResonanceMetrics within thirty (30) days of the event giving rise to it. After that period, the Customer is deemed to have waived any action.

Article 11 — Indemnity

11.1 Customer’s obligations

The Customer will defend, indemnify, and hold harmless ResonanceMetrics, its officers, employees, and partners against any claim, loss, damage, cost, and expense (including reasonable attorneys’ fees) arising out of or related to:

Article 12 — Term and termination

12.1 Term

These Terms take effect when the Account is created and remain in effect for as long as the Customer uses the Service.

The subscription is taken out for the period the Customer chooses (monthly or annual) and renews automatically for successive periods of the same length, unless it is terminated.

12.2 Termination by the Customer

Monthly subscription: the Customer may cancel at any time. Cancellation takes effect at the end of the current monthly period.

Annual subscription: the Customer may cancel at least thirty (30) days before the renewal date. Otherwise the subscription renews for another annual period.

To cancel, the Customer must use the Account management interface or contact support at [email protected].

12.3 Termination by ResonanceMetrics

ResonanceMetrics may terminate or suspend access to the Service:

a) Termination for a legitimate reason (with 30 days’ notice):

  • Activity that harms the security or integrity of the Service.

12.4 Effects of termination

On the effective date of termination:

13.2 Notice

If a change is material, ResonanceMetrics will notify the Customer at least thirty (30) days before the new Terms take effect, by email to the address on the Account.

13.3 Acceptance

Changes are deemed accepted if the Customer does not object in writing within the notice period. Continued use of the Service after the changes take effect is acceptance.

13.4 Refusal

If the Customer refuses the changes, it may cancel its subscription before the new Terms take effect. In that case the previous Terms continue to apply until the effective date of cancellation.

Article 14 — General

14.2 Severability

If a competent court holds a provision of these Terms invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the other provisions will remain in full force.

14.3 Waiver

ResonanceMetrics’ failure or delay in exercising a right under these Terms is not a waiver of that right.

ResonanceMetrics may freely assign or transfer these Terms in connection with a merger, acquisition, restructuring, or sale of all or part of its assets.
